Terms of Service

1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the Hazel service available at hazelhere.com (the "Service"), operated by Valsoft Corporation ("Hazel," "we," or "us"). By creating an account, accessing the Service, or clicking "I agree," you accept these Terms. If you don't agree, don't use the Service.
If you accept these Terms on behalf of an organization (e.g., a childcare center or school), you represent that you have authority to bind that organization, and "you" refers to that organization throughout.
2. The Service
Hazel provides an AI voice assistant and CRM purpose-built for childcare centers, schools, and home-based childcare providers. Features include inbound call answering, tour booking, lead management, and integrations with calendaring services such as Google Calendar, Microsoft 365, and Calendly.
We may add, remove, or change features at any time. We will give reasonable notice of material changes that adversely affect a paid customer's use of the Service.
3. Accounts and Eligibility
You must be at least 18 years old and authorized to act on behalf of the organization you register. You're responsible for keeping your login credentials secure and for all activity under your account.
Notify us promptly at info@hazelhere.com if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Reverse engineer, decompile, or attempt to extract source code or models
- Upload malicious content (malware, harmful code, spam)
- Attempt to access another customer's account or data
- Interfere with or overload Service infrastructure
- Use the Service to harass, defraud, or impersonate any person
- Resell, sublicense, or otherwise commercialize the Service without our written agreement
5. Customer Data and Privacy
You retain ownership of all data you (or callers/families on your behalf) submit to the Service ("Customer Data"). You grant Hazel a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to provide and improve the Service for you. We will not use Customer Data to train generalized AI models offered to other parties.
Our handling of Customer Data is described in the Privacy Policy.
Recording disclosure: when callers reach a Hazel-answered phone line, the call may be recorded and transcribed. You are responsible for ensuring your inbound call greeting includes any disclosures required by your jurisdiction (e.g., two-party consent states in the U.S.). We provide configurable greetings to make this straightforward.
Children's information: you represent that any information about children that you transmit through the Service was collected in compliance with applicable law including COPPA and FERPA where relevant.
6. Third-Party Services
The Service integrates with third-party platforms (Google Workspace, Microsoft 365, Calendly, etc.) at your direction. Your use of those platforms is governed by their own terms. We are not responsible for the availability, performance, or content of third-party services.
7. Fees and Payment
Subscription fees, billing terms, and any usage-based charges are described in your order form or pricing agreement. Fees are quoted exclusive of taxes; you are responsible for applicable taxes. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
8. Term and Termination
These Terms remain in effect for as long as you use the Service. You may terminate at any time by closing your account. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if continued service poses a security or legal risk, with reasonable notice when practical.
On termination, your access ends and we will, on request and within a reasonable time, delete or return your Customer Data subject to legal retention requirements.
9. Intellectual Property
Hazel and its licensors own all rights, title, and interest in the Service, including the underlying software, designs, trademarks, and content (excluding Customer Data). No rights are granted to you except those expressly stated in these Terms. Feedback you provide may be used by Hazel without obligation or compensation.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Hazel uses commercial AI models that may produce inaccurate or incomplete output. You are responsible for reviewing and verifying any output before relying on it for material decisions (e.g., enrollment, billing, medical information).
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAZEL AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID HAZEL IN THE 12 MONTHS PRECEDING THE CLAIM OR (b) USD $100.
12. Indemnification
You agree to indemnify and hold Hazel and its affiliates harmless from any third-party claims arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of applicable law.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute that cannot be resolved informally will be brought in the courts located in Toronto, Ontario, and you consent to the exclusive jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance.
